Terms of Service

This Terms of Service agreement (“this Agreement” or “these Terms”) is a legal agreement between you, on the one hand, and Icebreak Sauna and its owners, subsidiaries, and affiliates (collectively, “Icebreak,” “the Company,” “us,” “we,” or “our”), on the other hand, regarding your use of the Services (any classes, sessions, events, or activities hosted, sponsored, or affiliated with Icebreak, together, the “Program”), whether at or through an Icebreak in-person location, www.icebreaksauna.com, the Icebreak booking app, facilitators (“Facilitators”) employed or otherwise retained by Icebreak, and/or any applicable downloadable software you access or install on your device, including the classes, sessions, events, and activities available through that software (together, the “Service” and the Icebreak app, and any other apps included in the Service, together, the “Apps”).

By clicking “I agree,” “I accept,” or equivalent language, by creating an account, or by booking or attending any session, you agree to be bound in all respects by this Agreement, and you will waive certain legal rights, including the right to sue or claim compensation, as set forth below. If you do not agree, do not use the Services.

Part 1: Release of Liability, Waiver of Claims and Assumption of Risks

In consideration of Icebreak permitting you (“I” or “me”) to participate in activities including (but not limited to) sauna and aufguss rituals (saunagus), ice baths and cold plunges, contrast therapy, breathwork, aromatherapy, guided movement, and the use of Icebreak’s saunas, plunge pools, showers, lounges, and other amenities (collectively, the “Activities”), and for other good and valuable consideration, you agree to all the terms and conditions set forth in this Agreement.

1. Assumption of Risks

I am aware and understand that the Activities may involve many risks, dangers, and hazards, including but not limited to the risk of serious injury, illness, death, or property damage. These risks include, without limitation, exposure to extreme heat and steam, cold water immersion and cold shock, dehydration, overheating, fainting, dizziness, nausea, burns, slips and falls on wet surfaces, changes in blood pressure or heart rate, cardiac events, hyperventilation and effects of breathwork, aggravation of pre-existing conditions, and reactions to aromatherapy or other substances. I acknowledge that I am voluntarily participating in the Activities. I freely accept and fully assume any and all such risks, dangers, and hazards, and the possibility of injury, illness, death, or property damage, whether caused by the negligence of Icebreak or otherwise. I understand that I should consult a doctor in advance of performing or participating in any of the Activities and that I should advise Icebreak of any health concerns in advance of starting the Activities.

2. Express Waiver and Release of Claims

I hereby expressly waive and release any and all claims, now known or hereafter known, that I have or may in the future have against Icebreak, any entities (including, without limitation, companies, partnerships, and trusts) owned in whole or in part by Icebreak, and each of their affiliates and their respective directors, managers, officers, employees, Facilitators, contractors, agents, representatives, shareholders, successors, and assigns (collectively, the “Releasees”), arising out of or related to any of the Activities (including while on my way to, while at, and while leaving any premises at which Icebreak offers any of the Activities), the Program, and/or the Service, due to any cause whatsoever, including, without limitation, the negligence of Icebreak or any other Releasee, breach of contract, or breach of any statutory or other duty of care owing under premises-liability or occupiers’-liability law or otherwise.

3. Covenant Not to Sue and Indemnification

I agree that I will not make or bring any claim against any of the Releasees in respect of any loss, injury, illness, death, or damage described above, and I release the Releasees from any and all liability for the same. I further agree to indemnify, defend, and hold harmless the Releasees from any litigation, loss, liability, damage, cost, or expense (including reasonable legal fees) that any of them may incur as a result of any claim brought by me or on my behalf, or by any third party, arising out of my participation in the Activities or my breach of this Agreement.

4. No Responsibility for Personal Property

I understand and agree that Icebreak and the Releasees assume no responsibility for any personal property that I bring to any Icebreak premises, whether lost, stolen, or damaged, during my participation in the Activities or my use of the facilities. I am solely responsible for my belongings.

5. Liability Cap if Release Is Deemed Invalid

If, notwithstanding the foregoing, any court of competent jurisdiction determines that the release and waiver in this Agreement is unenforceable in whole or in part, I agree that the maximum aggregate liability of the Releasees for all claims arising out of or related to the Activities, the Program, or the Service shall not exceed the greater of (i) the total amount I paid to Icebreak in the six (6) months preceding the event giving rise to the claim, or (ii) five hundred U.S. dollars ($500).

6. Entire Agreement

This Agreement, together with the documents it incorporates by reference, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior understandings, agreements, representations, and communications, whether written or oral.

7. Severability

If any provision of this Agreement is found to be invalid or unenforceable in any jurisdiction, that determination shall not affect the validity or enforceability of the remaining provisions, and this Agreement shall be construed as if the invalid or unenforceable provision had been modified to the minimum extent necessary to make it valid and enforceable.

8. Binding Effect and Successors

This Agreement shall be binding upon and inure to the benefit of the parties and their respective heirs, executors, administrators, personal representatives, successors, and permitted assigns.

9. Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict-of-laws rules. I agree that any dispute arising out of or related to this Agreement, the Activities, the Program, or the Service shall be brought exclusively in the state or federal courts located in the City and County of Denver, Colorado, and I irrevocably submit to the personal jurisdiction of those courts and waive any right to a trial by jury. 10. Language

The parties have required that this Agreement and all related documents be drawn up in the English language, and I confirm that I am able to read, understand, and agree to this Agreement in English.

11. Agency and Enforcement

Icebreak enters into this Agreement on its own behalf and as trustee and agent for each of the other Releasees, and Icebreak is entitled to enforce the releases, waivers, covenants, and indemnities in this Agreement on their behalf.

12. Corporate Capacity

If I am participating in the Activities as an employee, agent, director, or officer of a corporation or other entity, I certify that I am authorized to bind that entity to this Agreement, and this Agreement applies to and releases claims of both me individually and that entity.

13. Acknowledgment of Understanding

I confirm that I have read and understood all of the terms of this Agreement, that I am agreeing to it freely and voluntarily, and that I understand I am giving up substantial legal rights, including the right to sue Icebreak and the Releasees.

Part 2: Additional Terms

Eligibility

You must be at least eighteen (18) years of age to create an account and purchase or book the Services on your own. By agreeing to these Terms, you represent that you are legally able to enter into purchase and service agreements with Icebreak and its partners, vendors, agents, and service providers. Guests under 18 may participate only when a parent or legal guardian accepts these Terms and the Waiver on their behalf and remains responsible for the minor.

Community Guidelines — Privacy

Icebreak is a shared space and, where offered, a shared community. You must not publish another person’s personal information publicly. Do not post screenshots of private conversations or community spaces without the explicit written consent of everyone involved. Private conversations must remain confidential.

Community Guidelines — Respect

Threatening language, harassment, intimidation, violence, racism, bullying, discrimination, hate speech, and attacks on other guests, community members, Facilitators, or staff are strictly prohibited. Discrimination on the basis of race, color, religion, national origin, sex, gender identity, sexual orientation, age, disability, or any other protected characteristic will not be tolerated. Diversity and inclusion are encouraged. We may remove or refuse service to anyone who violates these guidelines, without refund.

Health Disclaimer

You acknowledge that the Activities involve heat, cold, steam, breathwork, low lighting, sound, and visual elements, and that you assume personal responsibility for participating safely. You agree to conduct yourself in a safe manner, to follow all posted rules and the instructions of Facilitators and staff, and not to participate while pregnant (unless cleared by your physician) or while under the influence of alcohol, drugs, or any impairing substance. The Services are not medical treatment and are not a substitute for professional medical advice, diagnosis, or care.

Photosensitivity Notice

A small percentage of people may experience seizures or blackouts when exposed to certain lights, patterns, or flashing effects, which may be present in our spaces or media. Symptoms may include lightheadedness, altered vision, eye or face twitching, disorientation, or loss of awareness. If you experience any of these symptoms, stop participating immediately and consult a doctor. If you have a history of seizures or epilepsy, consult your physician before attending.

Account

To use certain Services you must create an account and provide accurate, current, and complete information, and keep it up to date. We may suspend or terminate accounts that contain inaccurate or incomplete information. You are solely responsible for all activity that occurs under your account, for keeping your login credentials confidential, and for using a strong password. You must notify us immediately at hej@icebreaksauna.com of any unauthorized use of your account.

Membership Subscription Fees

Subject to your payment and compliance with these Terms, Icebreak grants you a non-exclusive, non-transferable, limited right to access and book classes and sessions for your own non-commercial, personal use. Memberships are billed on a recurring basis (for example, monthly or annually) and continue until cancelled. You may cancel at any time before your next renewal date to avoid additional charges. Cancellation stops future billing; it does not refund amounts already paid or unused time in the current period.

Initial Pricing and Price Changes

You will be charged at the subscription rate in effect at the time of your purchase. We reserve the right to change prices, and we will provide at least thirty (30) days’ notice by email before a price change applies to your renewal. Where a free trial is offered, you may be required to provide a valid credit or debit card, and billing will occur only after the trial expires if you have not cancelled. Free trials may be used once per person.

Free Trial Cancellation

You will not necessarily receive a separate notice that a free trial has ended and payment is due. To avoid being charged, you must cancel your subscription before the end of the free-trial period as stated at sign-up.

Fraudulent Use and Membership Cancellation

Sharing your username, password, membership, or booking credits with others is prohibited. Excessive, shared, or automated use, or use that we reasonably deem fraudulent, may result in immediate cancellation without refund. We reserve the right to cancel any membership that has been compromised or fraudulently used.

Non-Refundable Service

Except where required by law or expressly stated otherwise, memberships, class packs, and other purchases are non-refundable, and there are no refunds or credits for partially used periods or unused sessions. You are responsible for tracking your subscription and for cancelling in accordance with these Terms. Unused credits and membership time have no cash value.

Subscriptions via Apple ID and Google Play

If you subscribe through your Apple ID or Google Play account, payment will be charged to that account. Subscriptions automatically renew unless cancelled at least twenty-four (24) hours before the end of the current period, and your account will be charged for renewal within twenty-four (24) hours before the end of the current period. You can manage and cancel these subscriptions through your Apple or Google account settings.

Service Provider Entities

Icebreak locations and Apps may be operated by one or more affiliated entities. The entity responsible for a given location or App will be identified at that location or in the applicable App or purchase flow. [List operating entities here once your LLC and any location entities are formed.]

Offers and Discounts

We may offer discounts, promotions, and promo codes at our sole discretion, subject to any eligibility criteria we set. Making an offer once does not obligate us to make it again, and any repeated offer creates no right to future enforcement. Discounts are valid only for the stated time period or quantity.

Coupons and Offer Codes

Coupons and offer codes are valid only as specified on our website or the coupon and within any stated timeframe. A coupon is applied in full at the time of purchase, with no partial or cumulative use unless stated. Single-use coupons apply once per purchase. Coupons must be redeemed within the specified period or they expire automatically, and no refund is given for any difference in value. Coupons are for non-commercial use only; reproduction, counterfeiting, sale, or commercial trade of coupons is prohibited.

Purchases via App Store and Google Play

The Apps must be obtained through the applicable third-party app store in accordance with its instructions. Purchases made through those stores are subject to the third party’s terms and conditions, which prevail in the event of any conflict with these Terms. You are responsible for reading and accepting those third-party terms.

Modification and Discontinuation of Content

We reserve the right to modify, edit, delete, suspend, or discontinue the Service, in whole or in part, temporarily or permanently, at any time, with or without notice. Content availability, features, and compatible platforms change regularly, and certain content may be available on one platform but not another. We may experiment with and change features, interfaces, membership plans, pricing, and promotions at our sole discretion without notice.

Proprietary Rights

All materials made available through the Services, including names, logos, trademarks, images, text, graphics, videos, audio, and software (the “Materials”), are protected by copyright, trademark, and other intellectual-property rights owned by Icebreak or its licensors. The Materials are made available for your limited, non-commercial, personal use only. You may not copy, reproduce, republish, download, post, transmit, distribute, or create derivative works from the Materials without our prior express written permission.

Consent to Electronic Communications

By using the Services, you consent to receiving electronic communications from us about your account and the Services, including confirmations, reminders, and service notices. You agree that electronic notices satisfy any legal requirement that such communications be in writing. You are solely responsible for any fees charged by your telecommunications or internet provider related to your use of the Services, including SMS and data charges.

Updates to These Terms

We may update these Terms from time to time and will revise the “Last updated” date above accordingly. Your continued use of the Services after any change means you accept the then-current Terms.
