Release of Liability & Assumption of Risk

Please read carefully. This is a legal document that affects your rights. You must accept this Release before your first session.

In consideration of Icebreak Sauna and its owners, subsidiaries, and affiliates (collectively, “Icebreak,” “we,” “us,” or “our”) permitting me (“I,” “me,” or the “Participant”) to participate in activities including (but not limited to) sauna and aufguss rituals (saunagus), ice baths and cold plunges, contrast therapy, breathwork, aromatherapy, guided movement, and the use of Icebreak’s saunas, plunge pools, showers, lounges, and other amenities (collectively, the “Activities”), and for other good and valuable consideration, I agree to all the terms set forth in this Release of Liability, Waiver of Claims, and Assumption of Risk (this “Waiver”).

1. Nature of the Activities

I understand that the Activities take place in an environment of high heat and steam, and involve deliberate exposure to extreme temperatures, including saunas that may exceed 90°C (194°F) and cold water immersion that may be near freezing. The Activities also involve breathwork, aromatherapy, low lighting, sound, physical exertion, and movement on wet and slippery surfaces, in a shared group setting. I understand these Activities place significant stress on the body and carry inherent risks that cannot be eliminated regardless of the care taken by Icebreak.

2. Assumption of Risks

I am aware and understand that the Activities may involve many risks, dangers, and hazards, and I knowingly and voluntarily assume all of them, whether known or unknown, foreseeable or unforeseeable. These risks include, without limitation:

• Overheating, heat exhaustion, heat stroke, dehydration, and fainting;
• Cold shock, hyperventilation, cold-water incapacitation, and the after-drop effect;
• Dizziness, nausea, disorientation, and loss of consciousness, including during or after breathwork;
• Burns from heated surfaces, stoves, stones, or steam;
• Slips, trips, and falls on wet, uneven, or slippery surfaces;
• Changes in blood pressure or heart rate, and cardiac events, including in persons unaware of a pre-existing condition;
• Cramping, muscle strain, and physical injury;
• Allergic or adverse reactions to essential oils, aromatherapy, or other substances;
• Aggravation of any pre-existing physical, cardiovascular, respiratory, neurological, or psychological condition;
• And, in rare cases, serious injury, permanent disability, or death.

I understand that breathwork must never be performed in or under water, and I agree never to do so. I knowingly and freely assume full responsibility for my participation and for all such risks, whether caused by the negligence of Icebreak or otherwise.

3. Health Representation and Fitness to Participate

I confirm that I am in good physical and mental health and have no medical condition that would make participation in the Activities unsafe, or that I have consulted a physician and been cleared to participate. I understand that heat and cold exposure may be especially dangerous for people who are pregnant or may be pregnant, or who have heart conditions, high or low blood pressure, circulatory or respiratory conditions, diabetes, epilepsy or a seizure history, or who are prone to fainting. I agree that I will not participate while pregnant unless cleared by my physician, while under the influence of alcohol, drugs, or any impairing substance, or while feeling unwell. I agree to disclose to Icebreak staff any condition that could affect my safety and to stop participating and seek assistance immediately if I feel unwell at any time.

4. Release and Waiver of Claims

To the fullest extent permitted by law, I hereby release, waive, discharge, and covenant not to sue Icebreak, any entities owned in whole or in part by Icebreak, and each of their respective owners, officers, directors, managers, employees, Facilitators, contractors, agents, representatives, successors, and assigns (collectively, the “Released Parties”), from any and all liability, claims, demands, actions, or causes of action whatsoever arising out of or related to any loss, damage, injury, illness, or death that may be sustained by me, or to any property belonging to me, arising out of or related to my participation in the Activities or my presence on any Icebreak premises, whether caused by the negligence of the Released Parties or otherwise.

5. Indemnification

I agree to indemnify, defend, and hold harmless the Released Parties from and against any and all loss, liability, damage, cost, or expense, including reasonable attorneys’ fees, that they may incur as a result of my participation in the Activities, my presence on Icebreak premises, my breach of the studio rules, or any claim brought by me, on my behalf, or by any third party arising from my conduct.

6. No Responsibility for Personal Property

I understand that the Released Parties assume no responsibility for any personal property I bring onto Icebreak premises, whether lost, stolen, or damaged. I am solely responsible for securing my belongings.

7. Rules and Facilitator Authority

I agree to follow all posted rules and the instructions of Icebreak Facilitators and staff, including directions to hydrate, rest, leave the sauna or plunge, or end my session. I understand that Icebreak may refuse, limit, or end my participation at any time, without refund, if it believes doing so is necessary for my safety or the safety of others.

8. Media Consent

Icebreak does not permit filming or photography of other guests without consent. Icebreak may occasionally photograph or record general studio activities and spaces for promotional purposes. If I do not wish to appear in such media, I will inform a staff member before my session, and Icebreak will make reasonable efforts to accommodate my request.

9. Minors

If the Participant is under eighteen (18) years of age, a parent or legal guardian must accept this Waiver on the minor’s behalf. By doing so, the parent or guardian agrees to all of its terms, including the assumption of risk, release, and indemnification, on behalf of both themselves and the minor, and accepts responsibility for supervising the minor.

10. Governing Law, Jurisdiction, and Severability

This Waiver is governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict-of-laws rules. Any dispute arising out of or related to this Waiver or the Activities shall be brought exclusively in the state or federal courts located in the City and County of Denver, Colorado. If any provision of this Waiver is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect, and I intend this Waiver to be as broad and inclusive as permitted by Colorado law.

11. Entire Agreement

This Waiver, together with our Terms of Service, constitutes the entire agreement between me and Icebreak regarding my participation in the Activities and supersedes all prior understandings, whether written or oral.

12. Acknowledgment of Understanding

I have read this Waiver, fully understand its terms, and understand that I am giving up substantial rights, including the right to sue. I acknowledge that I am signing or accepting it freely and voluntarily, without any inducement, and I intend it to be a complete and unconditional release of liability to the fullest extent permitted by law.
